1. Acceptance of Terms

By accessing or using MediaMind ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

You must be at least 13 years of age to use the Service. If you are located in the European Union, you must be at least 16 years of age. By using the Service, you represent and warrant that you meet the applicable age requirement.

2. Account Registration

MediaMind uses Google OAuth for authentication. By signing in, you authorize us to access your Google account information (name, email address, and profile picture) for the purpose of creating and managing your account.

You are responsible for maintaining the security of your account and any activity that occurs under it. You agree to notify us immediately of any unauthorized access to your account.

3. The Service

MediaMind is an AI-powered media analysis platform that provides video and image analysis, transcription, content insights, virality scoring, face detection, and social media publishing tools. The Service is designed for content creators, marketers, and media teams.

4. Credits and Billing

MediaMind operates on a credit-based system. Certain features consume credits when used. Credits can be purchased through subscription plans or one-time purchases.

• All payments are processed securely through Stripe. We do not store your payment card information.
• Subscription plans renew automatically at the end of each billing cycle unless cancelled.
• Unused credits from monthly allocations do not roll over to the next billing period unless specified in your plan.
• Refunds are handled on a case-by-case basis. You may request a refund within 14 days of purchase if credits have not been substantially consumed.

5. Content Ownership and License

You retain full ownership of all content you upload to MediaMind, including videos, images, and any associated metadata. We do not claim ownership over your content.

By uploading content, you grant MediaMind a limited, non-exclusive, royalty-free license to process, analyze, store, and display your content solely for the purpose of providing the Service to you. This license terminates when you delete your content or your account.

6. AI Processing

MediaMind uses third-party AI services to analyze your content, including:

• Google Gemini — for video and image analysis, scene detection, and content insights
• Amazon Transcribe — for speech-to-text transcription
• InsightFace — for face detection and recognition within your media library

AI-generated results, including virality scores, scene descriptions, sentiment analysis, and face groupings, are approximations and should not be relied upon as definitive assessments. We do not guarantee the accuracy or completeness of AI-generated outputs.

7. Social Media Integrations

MediaMind allows you to connect third-party social media accounts (such as YouTube and Instagram) for publishing content directly from the platform.

• OAuth tokens for connected accounts are encrypted using AES-256-GCM and stored securely.
• You are solely responsible for the content you publish through MediaMind to third-party platforms and for compliance with those platforms' terms of service.
• MediaMind is not liable for any actions taken by third-party platforms in response to content you publish.

8. Prohibited Use

You agree not to use the Service to:

• Upload, store, or distribute content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Circumvent credit limits, rate limits, or other usage restrictions
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools to scrape, crawl, or extract data from the Service
• Interfere with or disrupt the Service or servers connected to it
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

9. Intellectual Property

MediaMind and its associated branding, logos, user interface designs, and underlying technology are the intellectual property of MediaMind and are protected by applicable intellectual property laws. You may not use our branding or trademarks without prior written consent.

This does not affect your ownership of the content you upload to the Service.

10. Limitation of Liability

The Service is provided on an "as-is" and "as-available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant the accuracy of AI-generated analysis, virality predictions, or any other automated output. You acknowledge that AI-generated results are approximations.

To the maximum extent permitted by applicable law, MediaMind's total liability to you for any claims arising from or related to the Service shall not exceed the total amount you paid to MediaMind in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless MediaMind and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your content, or your violation of these Terms.

12. Termination

Either party may terminate this agreement at any time. You may delete your account through the Service settings.

• We reserve the right to suspend or terminate your access to the Service at any time for violations of these Terms, without prior notice.
• Upon termination, your right to use the Service ceases immediately.
• Your uploaded content will be scheduled for deletion within 30 days of account termination, and removed from backups within 90 days.

13. Modifications to Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes by posting the updated Terms on the Service and, where possible, notifying you by email. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance of the changes.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.
